Uncommon Threadz Affiliate Program Terms & Conditions

These Terms & Conditions ("Terms") govern participation in the Uncommon Threadz Affiliate Program ("Program"), operated by Uncommon Threadz LLC ("Uncommon Threadz," "we," "us," or "our") through uncommonthreadz.shop. By applying to or participating in the Program, you ("Affiliate," "you," or "your") agree to these Terms.

1. Eligibility and Enrollment

1.1 The Program is open to musicians, performing acts, venues, restaurants, and other businesses or individuals approved by Uncommon Threadz. Applicants must be at least 18 years old, or the age of majority in their jurisdiction.

1.2 We review every application and may approve or decline any applicant at our sole discretion.

1.3 You agree to provide accurate information when applying and to keep your contact and payment information current.

2. Your Affiliate Page and Products

2.1 Once approved, we will create a dedicated merchandise page ("Affiliate Page") on uncommonthreadz.shop featuring products bearing your name, logo, or artwork.

2.2 Products initially include short and long sleeve t-shirts. We may, at our discretion, offer additional products to Affiliates based on sales performance.

2.3 We set all product pricing, product selection, materials, and print methods. We may adjust pricing or discontinue products at any time.

2.4 All designs must be approved by both parties before going live on your Affiliate Page.

3. Starter Kit

3.1 Upon approval, we will send you, at no cost, one (1) graphic t-shirt for display and one (1) promotional card with a QR code linking to your Affiliate Page ("Starter Kit").

3.2 The Starter Kit is yours to keep. Additional promotional items may be provided at our discretion or for an additional cost.

3.3 You are never required to purchase inventory, pay setup fees, or meet minimum order requirements.

4. Commissions

4.1 You will earn a commission of sixteen and one-half percent (16.5%) of the sale price of each qualifying product sold through your Affiliate Page or affiliate link ("Commission").

4.2 "Sale price" means the price paid for the product, excluding shipping charges, sales tax, discounts, gift card redemptions, and any other fees.

4.3 A sale qualifies for Commission only if it is completed through your Affiliate Page, affiliate link, or QR code, and is tracked by our affiliate tracking system. We are not responsible for sales that fail to track due to customer browser settings, cleared cookies, ad blockers, or similar factors outside our control.

5. Returns, Refunds, and Chargebacks

5.1 Commissions are not earned on orders that are canceled, refunded, returned, or subject to a chargeback.

5.2 Commissions become payable after a holding period of 30 days from the order date, to allow for returns and refunds.

5.3 If a Commission has already been paid on an order that is later refunded or charged back, we may deduct that amount from your future Commissions.

6. Payment

6.1 Commissions are paid via PayPal or Venmo for all qualifying sales that have cleared the holding period.

6.2 Payment is issued once your unpaid balance reaches $20. Balances below this amount roll over to the next payment period.

6.3 You are responsible for providing accurate payment information. We are not responsible for payments lost due to incorrect information you provide.

6.4 If your participation ends, any earned, unpaid Commissions above the minimum will be paid in the next regular payment cycle, unless your participation was terminated for a violation of these Terms.

7. Taxes

7.1 You are responsible for all taxes on Commissions you earn.

7.2 You agree to provide a completed IRS Form W-9 (or applicable equivalent) before receiving payment. We will issue tax reporting forms as required by law.

8. Intellectual Property

8.1 Your marks. You retain all ownership of your name, logos, artwork, and trademarks ("Affiliate Materials"). You grant Uncommon Threadz a non-exclusive, royalty-free license to use, reproduce, and display your Affiliate Materials on products, your Affiliate Page, and related promotional content for the duration of your participation in the Program.

8.2 Your guarantee. You represent that you own or have the rights to all Affiliate Materials you provide, and that their use will not infringe on the rights of any third party.

8.3 Designs we create. If Uncommon Threadz creates original artwork for you, ownership transfers to you upon termination. Your existing logos and marks remain yours regardless.

8.4 Our marks. You may use the Uncommon Threadz name and logo only to promote your Affiliate Page, and only in the forms we provide or approve.

9. Promotion Guidelines

9.1 You agree to promote your Affiliate Page honestly and lawfully. You will not:

• make false or misleading claims about products, pricing, or the Program;

• send unsolicited bulk email or messages (spam);

• bid on "Uncommon Threadz" or similar terms in paid search advertising;

• place your affiliate link on sites or in content that is illegal, hateful, sexually explicit, or that promotes violence; or

• use bots, fake accounts, or any method to generate artificial clicks or sales.

9.2 Disclosure. When promoting your Affiliate Page online, you agree to clearly disclose that you earn a commission on sales, as required by Federal Trade Commission guidelines. Simple disclosures like "I earn a commission on merch sales" or "#affiliate" are generally sufficient.

10. Orders, Fulfillment, and Customer Service

10.1 All customer orders are placed with, processed by, and fulfilled by Uncommon Threadz. Customers who buy through your Affiliate Page are customers of Uncommon Threadz.

10.2 We handle printing, shipping, returns, and customer service according to our store policies.

10.3 You agree not to make promises to customers about shipping times, returns, or product quality beyond what is stated on our website.

11. Relationship of the Parties

You are an independent contractor. Nothing in these Terms creates a partnership, joint venture, franchise, or employment relationship. You may not make commitments or enter agreements on behalf of Uncommon Threadz.

12. Term and Termination

12.1 Either party may end participation in the Program at any time, for any reason, with written notice (email is sufficient).

12.2 We may terminate your participation immediately if you violate these Terms, engage in fraud, or act in a way that harms the reputation of Uncommon Threadz.

12.3 Upon termination, we will remove your Affiliate Page within 30 days and stop producing products with your Affiliate Materials. Orders placed before removal will still be fulfilled and, if qualifying, will earn Commission.

13. Changes to the Program

We may update these Terms, Commission rates, or Program details at any time. We will notify you of material changes by email at least 14 days before they take effect. Continued participation after changes take effect means you accept the updated Terms.

14. Limitation of Liability

To the fullest extent permitted by law, Uncommon Threadz will not be liable for any indirect, incidental, or consequential damages, or lost profits, arising from the Program. Our total liability to you will not exceed the total Commissions paid to you in the 12 months before the claim arose.

15. Indemnification

You agree to indemnify and hold Uncommon Threadz harmless from any claims, damages, or expenses arising from your breach of these Terms or from any claim that your Affiliate Materials infringe the rights of a third party.

16. Governing Law

These Terms are governed by the laws of the State of Alabama, without regard to conflict-of-law principles. Any disputes will be resolved in the courts located in Shelby, Alabama.
